1. Scope
These Terms & Conditions apply to all services, workshops, strategic sparring sessions, coaching programmes, consultancy assignments, brainstorming sessions, room rental activities and other professional services offered under NEXT2MIND – Powered by P3 Solutions, unless otherwise agreed in writing.
By using the services of NEXT2MIND, the client acknowledges having read and accepted these Terms & Conditions.
Any deviations from or additions to these Terms & Conditions shall only be valid if confirmed in writing.
2. Services
NEXT2MIND offers, among others:
- Strategic sparring sessions
- Workshops and interactive sessions
- Positioning and communication support
- Consultancy and advisory services
- Brainstorming and concept development
- Guidance for innovative ideas and projects
- Meeting and workshop room rental
- Other professional services as agreed
The specific scope, timing and modalities of an assignment are defined in the quotation, agreement or assignment confirmation.
3. Quotations and Agreements
All quotations are non-binding unless stated otherwise.
An agreement is considered concluded:
- upon written confirmation by the client;
- upon signing of an agreement;
- or upon the actual commencement of the assignment.
P3 Solutions reserves the right to refuse assignments without further justification.
4. Specific Conditions
For certain services, workshops, programmes or collaborations, additional specific conditions may apply.
These conditions will be communicated separately through:
- quotations;
- agreements;
- registration forms;
- assignment confirmations;
- or supplementary documentation.
In the event of conflict, the specific conditions shall prevail over these Terms & Conditions.
5. Pricing and Payment
All prices are stated in euros and exclude VAT unless otherwise indicated.
Invoices are payable within 14 days from the invoice date unless otherwise agreed in writing.
In the event of late payment, P3 Solutions reserves the right to:
- charge statutory interest;
- charge a fixed compensation fee;
- and/or temporarily suspend ongoing assignments.
In the event of non-payment by the due date, all outstanding invoices become immediately payable.
6. Cancellation and Rescheduling
Workshops and Interactive Sessions
Participant cancellations:
- More than 14 days before the event: free of charge
- Between 14 and 7 days before the event: 50% of the fee payable
- Less than 7 days before the event: full fee payable
A substitute participant may always be proposed.
Individual Appointments and Sparring Sessions
Rescheduling or cancellation should be communicated in a timely manner.
Late cancellations may result in a cancellation fee.
P3 Solutions reserves the right to reschedule or cancel activities in case of insufficient registrations, illness, force majeure or unforeseen circumstances.
7. Delivery of Services
NEXT2MIND performs its assignments to the best of its abilities and on the basis of a professional best-efforts obligation.
Unless explicitly agreed otherwise, no obligation to achieve a specific result is undertaken.
NEXT2MIND provides guidance, strategic input and support based on professional expertise and experience. The client remains solely responsible for decisions, implementations and the use of any recommendations or insights provided.
8. Intellectual Property
All documents, presentations, templates, methodologies, exercises, texts, visuals, working documents, creative concepts and other materials remain the property of P3 Solutions unless otherwise agreed in writing.
These materials may not, without prior written consent:
- be copied;
- be distributed;
- be used commercially;
- be modified;
- or be transferred to third parties.
9. Confidentiality
Both parties undertake not to disclose confidential information obtained during the collaboration to third parties.
This obligation remains in force after termination of the collaboration.
10. Collaboration and Respect
NEXT2MIND strives for constructive, respectful and professional collaborations.
In the event of inappropriate behaviour, abusive communication or circumstances that make healthy collaboration impossible, P3 Solutions reserves the right to suspend or terminate the collaboration.
11. Liability
P3 Solutions shall not be liable for:
- indirect damages;
- consequential damages;
- loss of revenue;
- loss of data;
- or decisions taken based on advice or guidance provided.
In any event, the liability of P3 Solutions shall be limited to the amount of the relevant invoice or the amount covered by its insurance.
12. Force Majeure
P3 Solutions shall not be liable for delays or non-performance caused by force majeure or circumstances beyond its reasonable control, including but not limited to:
- illness;
- technical failures;
- internet disruptions;
- government measures;
- strikes;
- or exceptional family circumstances.
13. Privacy and Data Processing
Personal data shall be processed in accordance with the applicable Privacy Policy as published on this website.
14. Severability
Should one or more provisions of these Terms & Conditions be declared invalid or unenforceable, the remaining provisions shall remain fully applicable.
15. Governing Law and Jurisdiction
All agreements shall be governed exclusively by Belgian law.
Any disputes shall fall under the jurisdiction of the courts of the judicial district where P3 Solutions has its registered office, unless mandatory law provides otherwise.
